EMOREX HEALTH TERMS AND CONDITIONS
Effective Date: October 1, 2026
These Terms and Conditions ("Terms") govern your access to and use of the healthcare services, websites, patient portals, communications, and related services offered under the Emorex Health name ("Emorex," "we," "us," or "our").
By accessing or using Emorex services, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree to these Terms, please do not use our services.
1. Description of Services
Emorex provides and coordinates technology-enabled healthcare services for individuals who have experienced an accident, injury, or other qualifying medical event. Depending on the patient’s needs, location, provider availability, and applicable law, services may include:
- Virtual neurology consultations;
- Concussion evaluations and testing;
- Virtual urgent care;
- Neuropsychological evaluations;
- Cognitive and behavioral therapy;
- Follow-up treatment;
- Care coordination;
- Referrals to other healthcare professionals or facilities; and
- Other related healthcare services.
Healthcare services are provided by appropriately licensed physicians and other qualified healthcare professionals. The availability and scope of services may vary by state.
Emorex services are not intended to replace all care provided by a primary care physician, emergency department, or other healthcare provider.
2. Emergencies
EMOREX DOES NOT PROVIDE EMERGENCY MEDICAL SERVICES.
If you believe you are experiencing a medical emergency, call 911 or go to the nearest emergency department immediately. Do not rely on the Emorex website, patient portal, email, text messaging, or virtual-care services for emergency assistance.
Potential emergencies may include, without limitation, loss of consciousness, severe or worsening headache, difficulty breathing, chest pain, seizures, sudden weakness, uncontrolled bleeding, severe confusion, or thoughts of harming yourself or another person.
3. Eligibility
Emorex services are available only to individuals who:
- Are located in a jurisdiction where the treating healthcare professional is authorized to provide services;
- Satisfy applicable clinical and administrative eligibility requirements;
- Provide accurate registration, identification, medical, and accident-related information; and
- Provide all required consents and authorizations.
A parent or legal guardian must consent to services provided to a minor unless otherwise permitted by applicable law.
Emorex reserves the right to determine whether its services are appropriate for a particular patient.
4. Telehealth Consent
By receiving virtual-care services, you acknowledge that telehealth involves the delivery of healthcare through electronic communications and technology when the patient and healthcare professional are not in the same physical location.
Telehealth has potential benefits, including improved access and convenience, but it also has limitations and risks. These may include technology failures, interruptions, unauthorized access, incomplete transmission of information, and the inability of a healthcare professional to perform a complete in-person physical examination.
A healthcare professional may determine that virtual care is not clinically appropriate and recommend an in-person examination, diagnostic testing, specialist consultation, or emergency evaluation.
Any separate telehealth informed-consent document presented to you is incorporated into these Terms by reference.
5. Patient Responsibilities
You agree to:
- Provide complete, current, and accurate information concerning your identity, location, accident, symptoms, medical history, medications, allergies, and health status;
- Inform your healthcare professional of any changes in your symptoms or condition;
- Follow reasonable treatment, testing, referral, and follow-up recommendations;
- Participate in consultations from a private and reasonably safe location;
- Refrain from recording a consultation without the prior consent of all participants;
- Protect the confidentiality of your login credentials and patient-portal information; and
- Seek emergency or in-person care when instructed or when medically necessary.
Emorex and its healthcare professionals are not responsible for harm resulting from incomplete, inaccurate, misleading, or withheld information.
6. Fees, Insurance, Liens, and Payment
The payment arrangement applicable to your care will be explained through separate financial documents, which may include an insurance assignment, authorization, letter of protection, lien agreement, medical receivables agreement, or other payment arrangement.
Depending on the circumstances, charges may be submitted to an automobile insurer, personal injury protection or no-fault carrier, workers’ compensation carrier, health insurer, attorney, settlement proceeds, or another legally responsible party.
When services are provided under a lien or letter of protection, payment may be deferred until the resolution of the patient’s legal claim. Unless a separate written agreement states otherwise, the patient may remain financially responsible for amounts legally owed if insurance benefits or settlement proceeds are unavailable, insufficient, denied, or exhausted.
Emorex does not guarantee that any claim will settle, that insurance will provide coverage, or that any particular service will be paid by an insurer or another party.
The applicable financial agreement controls if it conflicts with this section.
7. No Guarantee of Medical or Legal Outcomes
Emorex and its healthcare professionals do not guarantee any particular diagnosis, treatment result, recovery time, insurance determination, settlement, or legal outcome.
Healthcare recommendations are based on the information reasonably available at the time of the consultation. A patient’s condition may change, and additional testing, treatment, or an in-person examination may be necessary.
Emorex does not provide legal advice and does not represent patients in personal injury, workers’ compensation, insurance, or other legal matters. Patients should direct legal questions to their attorneys.
8. Prescriptions and Medications
When clinically appropriate and legally permitted, an authorized healthcare professional may prescribe medication. A prescription is not guaranteed and remains within the independent professional judgment of the treating healthcare professional.
Controlled substances, narcotic medications, or other medications may be restricted or unavailable through Emorex services. Patients must provide accurate information about current medications, allergies, medical conditions, and potential drug interactions.
Any pharmacy that fills a prescription is responsible for its own dispensing practices, counseling, charges, and operations.
9. Medical Information and Privacy
Emorex and participating healthcare professionals will handle protected health information in accordance with applicable federal and state privacy laws, including the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"), when applicable.
Information about how protected health information may be used or disclosed is contained in the applicable Notice of Privacy Practices.
By using Emorex services, you authorize communications reasonably necessary to coordinate your care and administer your account, subject to your communication preferences and applicable law. Certain communications, including standard email or text messages, may have privacy or security limitations.
10. Electronic Communications
You may receive appointment reminders, care-coordination messages, records requests, billing communications, or other service-related communications by telephone, voicemail, email, text message, or patient portal.
Message and data rates may apply. Electronic communications may not always be secure, timely, or error- free. You are responsible for keeping your contact information current.
Consent to receive marketing communications is not a condition of receiving healthcare services. Where required by law, marketing communications will be sent only with the appropriate consent.
11. Independent Professional Judgment
Healthcare professionals providing clinical services exercise independent medical judgment. Nothing in these Terms requires a healthcare professional to order a particular test, prescribe a particular medication, make a particular diagnosis, or provide treatment that the professional considers medically unnecessary or inappropriate.
The specific professional entity responsible for providing clinical care may be identified in the patient’s consent, registration, medical, or billing documents.
12. Website and Technology Use
You may use Emorex technology and online services only for lawful, personal purposes. You may not:
- Attempt to gain unauthorized access to any system or account;
- Interfere with the operation or security of Emorex systems;
- Upload malicious software or harmful content;
- Use another person’s identity or account;
- Copy, distribute, or commercially exploit Emorex content without authorization; or
- Use Emorex services in violation of applicable law.
Emorex does not guarantee that its website, portal, or virtual-care technology will always be uninterrupted, secure, or error-free.
13. Third-Party Services
Emorex may use or provide access to third-party technology, laboratories, testing platforms, pharmacies, imaging facilities, healthcare providers, or other service providers.
Third-party services may be governed by separate terms and privacy practices. To the extent permitted by law, Emorex is not responsible for the independent acts, omissions, availability, or performance of unaffiliated third parties.
14. Disclaimer of Warranties
To the fullest extent permitted by law, Emorex’s non-clinical websites, technology, administrative services, and content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
Nothing in this section limits professional obligations that cannot legally be waived or excluded.
15. Limitation of Liability
To the fullest extent permitted by applicable law, Emorex and its owners, affiliates, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the use of, or inability to use, Emorex’s website, technology, administrative services, or communications.
Nothing in these Terms waives or limits any right or remedy that cannot legally be waived, including rights relating to professional negligence where applicable.
16. Suspension or Termination of Services
Emorex may suspend or terminate access to non-emergency services when reasonably necessary, including for:
- Abusive, threatening, fraudulent, or unlawful conduct;
- Failure to provide accurate information;
- Misuse of technology or patient accounts;
- Repeated failure to participate in scheduled care;
- Failure to comply with treatment or safety requirements;
- Nonpayment when payment is legally due; or
- Circumstances in which continued virtual care is clinically inappropriate.
When required by law or professional standards, reasonable notice or transition-of-care information will be provided. Termination does not eliminate payment obligations for services already provided.
17. Changes to These Terms
Emorex may revise these Terms periodically. Updated Terms will be posted with a revised effective date. Your continued use of Emorex services after updated Terms become effective constitutes acceptance of those changes, to the extent permitted by law.
Material changes will be communicated when required by applicable law.
18. Governing Law and Dispute Resolution
Any claim concerning professional healthcare services remains subject to the laws and procedural requirements applicable in the state where the patient received care.
19. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
20. Entire Agreement
These Terms, together with applicable consent forms, financial agreements, privacy notices, and other documents signed or accepted by the patient, constitute the agreement governing the patient’s use of Emorex services.
If a specific signed agreement conflicts with these Terms, the specific signed agreement will control concerning its subject matter.
